Corporate transactions in the health care industry continue to transform the health care delivery system. Each of these transactions have meaningful impact on the individuals who facilitate or provide health care, making careful consideration of labor and employment issues core to success of any transaction. These issues may be considered and addressed when the transaction discussions begin, all the way through to post-closing implementation and integration. This article provides an overview of important labor and employment considerations that may arise during each of these transaction phases as discussed during an American Health Law Association webinar presented by the Labor and Employment Practice Group, titled “Labor and Employment Issues in Health Care Transactions.” The issues discussed in this article should be considered not just to address associated legal and compliance questions but to increase the likelihood of an efficient and successful transaction overall.
